REI Member Loyalty Program Terms and Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.
THE REI MEMBER LOYALTY PROGRAM (“PROGRAM”) IS INTENDED TO OFFER MEMBER BENEFITS (AS FURTHER DEFINED BELOW) TO INDIVIDUALS WHO ARE ACTIVE MEMBERS OF THE REI CO-OP® (“MEMBER(S)”) AS DEFINED IN THE BYLAWS (AS HEREINAFTER DEFINED). ELIGIBILITY TO PARTICIPATE IN THE PROGRAM REQUIRES ACTIVE MEMBERSHIP IN THE REI CO-OP® ; HOWEVER, PARTICIPATION IN THE PROGRAM IS VOLUNTARY AND IS NOT AUTOMATIC UPON BECOMING A MEMBER. BY ENROLLING IN OR OTHERWISE PARTICIPATING IN THE PROGRAM (INCLUDING EARNING OR REDEEMING PROMOTIONAL REWARDS (AS HEREINAFTER DEFINED)), YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. THESE TERMS AND CONDITIONS (“AGREEMENT” OR “PROGRAM AGREEMENT”) ARE ENTERED INTO BETWEEN PROGRAM PARTICIPANTS AND REI CO-OP (“REI”) AND GOVERN THE AVAILABLE BENEFITS AND SERVICES TO PARTICIPANTS IN THE PROGRAM. THIS AGREEMENT SUPPLEMENTS THE REI CO-OP BYLAWS (THE “BYLAWS”) AND ARTICLES OF INCORPORATION (COLLECTIVELY, “CO-OP GOVERNANCE DOCUMENTS”), AVAILABLE AT https://www.rei.com/dam/23854601_rei-bylaws--governance-principles.pdf and https://www.rei.com/dam/20986733_articles-of-incorporation.pdf. IF THERE IS A CONFLICT BETWEEN THIS AGREEMENT AND THE CO-OP GOVERNANCE DOCUMENTS, THE CO-OP GOVERNANCE DOCUMENTS SHALL GOVERN. IF YOU DO NOT AGREE TO THIS AGREEMENT, DO NOT ACCESS OR PARTICIPATE IN THE PROGRAM.
For purposes of this Agreement, the term “Member Benefits” refers collectively to (1) the Co-op Member Reward, which may be composed of a patronage dividend (based on a Member’s patronage and governed by the Co-op Governance Documents)(“Patronage Dividend”), a promotional reward (a discretionary, non-patronage distribution offered under this Program and governed by this Agreement)(“Promotional Reward(s)”), or a combination of both (collectively, “Co-op Member Reward”); and (2) Program Benefits, as further described in Section 4 below (“Program Benefits”). Nothing in this Agreement is intended to modify, restrict, or affect a Member’s rights under the Co-op Governance Documents, including the right to vote and the right to receive a Patronage Dividend when, as, and if declared by the Board of Directors.
Capitalized terms used but not defined in this Agreement shall have the meaning ascribed to them in the Co-op Governance Documents. Each Member who participates in the Program is responsible for remaining knowledgeable about the Program Agreement and should review the Program Agreement and REI’s policies and FAQs frequently to understand the terms that apply to the Program.

1. Eligibility and Enrollment
This Program is only open to active Members (as defined in the Bylaws). Eligibility for the Program is only available to individuals. Program participation is not available to corporations, businesses, charities, partnerships, enterprises or any other entity, unless written approval is received in advance from REI, in its sole discretion. Participation in the Program may not be sold, transferred, or assigned to family, friends, or others, or used for any commercial purpose.
2. Termination
a. Membership Termination
REI reserves the right to disqualify a Member from participating in the Program and terminate the Member’s digital account (“Member Digital Account”), as well as enforce restrictions on purchases, if in REI’s sole discretion, (1) the Member has violated this Agreement or any of the Program-related terms and conditions, (2) abuses Program privileges, (3) fraudulently uses the Program, or (4) earns or redeems Promotional Reward(s) through deception, forgery, or fraud. REI further reserves the right to cancel any Member’s participation in the Program or its Digital Account for which it has incomplete, inaccurate, false or fictitious Personal Information (as defined below). However, notwithstanding the foregoing, termination of a Member’s participation in the Program does not modify a Member’s rights under the Co-op Governance Documents.
b. Program and/or Agreement Termination
REI reserves the right to and may, at its sole discretion, change, modify, restrict, suspend, cancel, or terminate this Agreement, the Program, any Program-related terms or conditions, any related policy or FAQs of the Program, the Member’s participation in the Program, at any time, for any reason, without prior written notice, except where applicable law requires prior notice.
3. Personal Information and Additional Privacy Disclosures
a. Personal Information
REI may collect personal information such as a Member’s name, phone number, email address and/or ZIP code (“Personal Information”) as part of the Member’s participation in the Program. REI uses this information to administer the Program, and to communicate with the Member about it. Additional information regarding how REI collects, discloses and protects a Member’s Personal Information is set out in REI’s Privacy Policy available at Privacy Notice | REI Co-op and, for residents of certain states, the REI US State Privacy Notice available here: U.S. State Privacy Notice | REI Co-op. By participating in the Program, each Member consents to our processing of the Member’s Personal Information in accordance with REI’s Privacy Policy and applicable U.S. State Privacy Notice(s).
Additionally, by participating in the Program and providing necessary consents, each Member agrees to allow REI to communicate via mail, email, phone, external websites and various other channels. REI may use these channels to communicate with the Member about the Member’s Digital Account, notify the Member when they are eligible for Member Benefits, communicate Program changes, offer special promotions, coupons, information and offerings that may be of interest to the Member. A Member may opt out of receiving promotional communications from REI by following the instructions in those communications or changing the Member's preferences here: https://www.rei.com/email-validation. Please note that even if a Member opts out of receiving marketing or promotional communications, REI may continue to send the Member non-marketing or non-promotional emails, such as information about the Member’s Digital Account or Program changes. A Member should promptly notify REI of any changes to Personal Information, either by visiting the Membership Digital Account or, sending an email to: privacy@rei.com or by calling a customer service representative at 1-800-426-4840 (US and Canada) or 1-253-891-2500 (outside the US and Canada).
b. Additional Privacy Disclosures
The Program may be interpreted as a “financial incentive” program under California privacy law or a “bona fide loyalty program” under Colorado privacy law, which provide residents of those states with certain rights to manage Personal Information REI holds about a Member. Each Member can learn more about the Personal Information REI processes, and what rights to manage a Member's Personal Information are available to the Member, in the REI privacy notices here and here. These notices explain that, for certain states, residents have rights to access and correct Personal Information, and to delete Personal Information, though please note that if a Member requests that REI delete the Member's Personal Information, the Member will not be able to continue participation in the Program.
4. Promotional Rewards
a. Definition
Promotional Rewards are merchandise credits that are promotional in nature and have no fixed or cash value. Proof of Membership in the Co-op is required at time of purchase of eligible merchandise to earn the Promotional Reward, which may be provided through his/her/their Membership number, name, phone number, email address and/or ZIP code, or contactless checkout code. Promotional Rewards are personal to each Member and cannot be transferred or copied. Promotional Rewards may not be merged, purchased, sold, auctioned, bartered, traded, encumbered, gifted, transferred or assigned, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. Doing so, and attempts to do so, will void the Member’s Digital Account and cancel the Promotional Reward. Promotional Rewards may not be applied toward payment of any outstanding account balances, previous purchases, and transaction history cannot be transferred from one Program account to another. Except as expressly permitted by REI in its sole discretion, Promotional Rewards do not constitute Member property and may be revoked at any time as set forth herein.
b. Earning Promotional Rewards
Members participating in the Program are eligible to earn a Promotional Reward, which may consist of a merchandise credit that equals a certain percentage of the Member's qualifying merchandise purchases during the prior year (“Member’s Annual Purchases”). The amount, type and frequency of Promotional Rewards are based upon a number of factors, including without limitation the volume and type of Member Annual Purchase made and Member account usage. Members may be required to purchase from a participating REI location to receive Promotional Rewards and/or to earn, receive, or redeem Promotional Rewards. Promotional Rewards will not be awarded if in REI’s reasonable opinion the merchandise purchased is intended for resale or commercial use. A Member’s Annual Purchases exclude portion of the qualifying purchase(s) made with Promotional Reward and Promotional Checks, and purchase of REI Outlet items, sale and clearance items, discounted items (including REI Employee discounts), gift cards, REI classes, Re/Supply used gear, service fees (e.g., rentals, labor, shop services), Membership fee, postage, event passes/tickets and registrations, government agencies, REI Cooperative Action Fund donations, shipping charges, return labels, exchanges, sales tax. A Member’s Annual Purchases are calculated starting January 1st through December 31st of any given calendar year (the "Program Year"). If a Member returns an item which constituted a Member’s Annual Purchase, REI reserves the right to adjust the calculation of the Member’s Annual Purchase by the price of any items returned for refund or credit. If the Promotional Reward has already been awarded, then the Promotional Reward adjustment amount may be deducted from any returns, as further discussed below.
c. Communication of Promotional Rewards
Members may track their estimated Promotional Reward earned by accessing their Member Digital Account which displays Member’s Annual Purchases. Members will also receive their Co-op Member Reward annual notice (“Annual Notice”) via mail or email by March for the prior year or as determined by REI. Please note that the determination of whether the Co-op Member Reward consists of a Patronage Dividend, a Promotional Reward, or a combination of both, will be determined by REI on an annual basis. Members can check current Promotional Rewards balance by contacting Customer Support at 1-800-426-4840 (U.S. and Canada) or 1-253-891-2500 (International), asking an associate at checkout in-store or checking their Membership Digital Account at [https://www.rei.com/login].
d. Redeeming Promotional Rewards
Promotional Rewards are redeemable at participating REI retail locations, REI.com, REI Outlet, and the REI mobile app. Promotional Rewards may be applied towards the price of Member’s future purchases and/or services. Promotional Rewards are valid through their respective listed expiration date. Members may also redeem Promotional Rewards on an REI order by phone by calling 1-800-426-4840 (U.S. and Canada) or 1-253-891-2500 (International). Only the primary Member (not spouse or other family member) may redeem Promotional Rewards. Promotional Rewards may be used along with other REI or other manufacturer discounts or promotions, unless otherwise stated in the promotional offer.
i. Promotional Rewards will be applied to Member’s purchase price after tax and after all discounts, percent-off and manufacturer coupons.
ii. Upon redemption of Promotional Reward, the amount of the used Promotional Reward will immediately be deducted from the Member’s Account.
iii. Promotional Reward(s) will be redeemed in order of expiration (i.e., Promotional Rewards that expire the soonest will be redeemed first).
e. Redemption Periods
By way of example, the Promotional Reward a Member has earned on purchases made in 2025 will be issued on March 1, 2026 and expires on February 27, 2027. The issuance and subsequent expiration date of future Promotional Rewards may vary from year to year at REI’s discretion. Notwithstanding the foregoing, REI may change the redemption period for Promotional Rewards at any time at its discretion with or without notice to Members. Members may also request a retroactive Promotional Reward credit for eligible Member’s Annual Purchases online at https://www.rei.com/membership/credit-purchases or by calling Senior Service at 1-800-426-4840 by December 31st for the calendar year for which Member is seeking a Promotional Reward credit. Member must have the receipt available to receive a retroactive Promotional Reward. REI does have discretion to decide expiration dates and/or redemption periods of the Promotional Reward. Promotional Rewards may be credited to Member for purchases made within the current calendar year. However, Promotional Rewards cannot be credited for purchases that occurred before the Membership commenced.
f. Returns
After a Promotional Reward has been calculated and finalized based on the prior year, REI may deduct the applicable Promotional Reward amount from any returns of full-price items purchased in the prior year. For instance, if a Member buys a $100 coat in December and decides to return it in February of the following year, and assuming the Promotional Reward percentage is 10% for the prior year, Member may receive a $90 refund, and then the $10 Promotional Reward will be issued to the Member in February or March of the respective issuance year. The portion of returns of purchases made with Promotional Rewards will be credited back to available Member balances, regardless of method of return. There may be unique circumstances where check or cash may be issued, at REI’s discretion.
g. Error in crediting Promotional Reward to Member Digital Account
If Member suspects or learns of any fraudulent activity related to Member Digital Account, including unauthorized redemption or transfer of a Promotional Reward, Member must report the fraudulent activity within 60 days of the date of the fraudulent activity. Credit or debit of any Promotional Reward as a result of claims of fraudulent activity related to Member’s Program account will be at REI’s sole discretion. REI reserves the right to adjust your Promotional Reward balance at any time, without notice for (i) human or computer error, (ii) technical issues or machine malfunction, (iii) fraudulent activity or misuse of the Program or its benefits or (iv) other reasons as may be determined by REI in its sole reasonable discretion.

i. REI Cooperative Action Fund Donation (With every new lifetime membership, REI provides $5 to support the REI Cooperative Action Fund (“Fund”). $1 of the $5 is retained by REI to pay the Fund’s administrative costs. The remainder is donated to a “Designated Fund” at the Seattle Foundation (Tax ID#91-6013536) for the benefit of the Fund. Contributions to that Designated Fund are treated for tax purposes as gifts to a Section 501(c)(3) public charity.);

The benefits listed in this section are discretionary and do not form part of the Patronage Dividend or other benefits of being an REI Co-op Member as set forth in the Bylaws. These benefits are subject to change or termination at REI’s sole discretion.
6. Tax Liability
Taxing authorities may determine that Promotional Rewards or other benefits earned through the Program are subject to tax liability. Any tax liability, including disclosure, connected with the receipt and/or use of Promotional Rewards or other benefits earned through the Program are the sole responsibility of the Member.
7. Limitation of Liability; Disclaimers
IN NO EVENT WILL REI, ITS SUBSIDIARIES AND AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE PROGRAM, THIS AGREEMENT, OR REI’S OPERATION OF THE PROGRAM.
WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THE PROGRAM, INCLUDING THE PROMOTIONAL REWARDS, BENEFITS, AND ITEMS REDEEMED WITH THE PROMOTIONAL REWARDS, ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.
REI will make every effort to make a Member whole in the event that a Member is prevented from using Promotional Rewards or the Program benefits at no fault of the Member. However, notwithstanding the foregoing, REI makes no warranty that the Program or any Program-specific website will be uninterrupted, timely, secure, or error free. REI is not responsible for: (1) any loss or misdirection of, or delay in receiving, any enrollment application, correspondence, Promotional Rewards, Promotional Rewards redemption requests; (2) theft or unauthorized redemption of Promotional Rewards; (3) any acts or omissions of third parties; or (4) any errors published in relation to the Program, including, without limitation, any typographical errors, errors of description, and errors in the determination of Promotional Rewards. REI reserves the right to correct, without notice, any errors.
8. Updates to Agreement
This Agreement may be updated or modified by REI at any time. Each Member understands and agrees that each time the Member participates in the Program, the Member is entering into a new agreement with REI on the then-applicable terms and conditions and the Member agrees that REI may notify the Member of new terms by posting them on the website (or in any other reasonable manner of notice which REI elects), and that the Member's continued Program participation after such notice constitutes the Member’s going forward agreement to the new terms for the Member's new use. Therefore, each Member should review the posted Program Agreement each time the Member uses the Program. Any new Program Agreement will be effective as of the time that REI posts them, or such later date as may be specified in them or in other notice to the Member. A Member may opt-out of the Program at any time by calling 1-800-426-4840 (U.S. and Canada) or 1-253-891-2500 (International). If a Member does choose to opt-out of the Program, any outstanding balance of Co-op Member Reward shall no longer be available and the lifetime Membership fee is not refundable.
This Agreement governs only the Program and does not alter, waive, or amend a Member’s rights under the Co-op Governance Documents, including the right to vote or to receive a Member Dividend when declared.
9. Forfeiture of Promotional Rewards
REI may determine not to issue a Member a Promotional Reward, and the Member will forfeit all Promotional Rewards earned, if REI suspends or terminates the Member's participation in the Program because of conduct that REI determines, in its sole discretion, violates this Program Agreement or any applicable law, involves fraud, attempted fraud, or misuse of Program participation, or is harmful to the interests of REI or its customers. REI also reserves the right to deny future enrollment in the Program if REI deems a Member's conduct to have violated this Program Agreement. REI's failure to insist upon or enforce the Member’s strict compliance with this Program Agreement will not constitute a waiver of any of REI’s rights.
Forfeiture provisions apply only to the Program and do not apply to a Member’s Patronage Dividend or core membership rights in the co-op.
10. Additional Terms
THESE TERMS AND MEMBER’S ACCESS TO AND USE OF THE SITES WILL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF WASHINGTON, APPLICABLE TO AGREEMENTS MADE AND TO BE ENTIRELY PERFORMED WITHIN THE STATE OF WASHINGTON, WITHOUT RESORT TO ITS CONFLICT OF LAW PROVISIONS. MEMBER AGREES THAT ANY ACTION AT LAW OR IN EQUITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL BE FILED ONLY IN THE STATE AND FEDERAL COURTS LOCATED IN KING COUNTY, WASHINGTON AND MEMBER HEREBY IRREVOCABLY AND UNCONDITIONALLY CONSENTS AND SUBMIT TO THE EXCLUSIVE JURISDICTION OF SUCH COURTS OVER ANY SUIT, ACTION OR PROCEEDING ARISING OUT OF THESE TERMS.
REI's failure to exercise or enforce any terms herein shall not constitute a waiver, and if REI fails to act with respect to a Member’s breach or anyone else’s breach on any occasion, REI is not waiving its right to act with respect to future or similar breaches.
If a Member breaches any provision of this Agreement, the Member may no longer be eligible to participate in the Program. If this Agreement or a Member’s eligibility to participate in the Program is terminated by REI for any reason, the agreement formed by the Member’s acceptance of this Agreement will nevertheless continue to apply to the Member and be binding upon the Member in respect to the Member’s prior use of the Program and anything relating to or arising from such use.
If there is a conflict between this Agreement and the terms and conditions of any Promotional Reward offer, the terms of this Agreement will control with respect to the conflicting term.
If a Member is dissatisfied with the Program or this Agreement, the Member’s sole and exclusive remedy is to discontinue using the Program. Any unspecified expenses related to the use of the Program are solely the Member’s responsibility. This Agreement, including any or all rights and obligations hereunder, may be freely assigned or transferred by REI, but not by the Member.
Section headings are included for convenience only and shall not affect the interpretation of any terms of this Agreement. Each Member agrees that any electronic notices REI sends a Member shall satisfy any requirement that such notices be made in writing. If any part of this Agreement is ruled to be unlawful, void or for any reason unenforceable, then such part shall be deemed severable from this Agreement and shall be eliminated or limited to the minimum extent necessary. The remainder of this Agreement, including any revised portion, shall remain and be in full force and effect.
Participation in the Program is voluntary and separate from legal co-op membership. Nothing in this Agreement is intended to modify a Member’s rights under the Co-op Governance Documents.
